Terms of Service

Preamble

Protime is a startup company founded in May 2024. Our mission is to combat information overload and empower individuals to make informed decisions through personalized, curated news and insights. As a new company, we are committed to evolving our service collaboratively with our users.

These terms are written in German. Translations are provided for convenience; in case of discrepancies or ambiguities the German version shall prevail.

1. Acceptance of Terms

By accessing or using the Protime service, you agree to be bound by these Terms of Service (ToS). If you do not agree with any part of these terms, you may not use the service.

2. Description of Service

Protime empowers business professionals through strategic insights by providing a tailored, condensed briefing that keeps them at the cutting edge of their industry. By delivering targeted insights, we enhance their efficiency, effectiveness, and competitive advantage, enabling them to excel in their fields.

Protime also strives to elevate the knowledge and critical thinking skills of the general public, building more resilient societies. Our efforts focus on combating information overload, misinformation, deepfakes, and cognitive biases. By ensuring that society is well-equipped to navigate the complexities of the modern information landscape, we help people make informed decisions and resist the spread of false information.

3. Free and Paid Programs

Protime offers subscription plans at different tiers, currently Basic and Pro, with additional plans (e.g. Business) in preparation. As Protime is in an active go-to-market phase, plan names, features, and pricing may change at any time. Each plan includes a monthly credit allowance. Credits are consumed for AI-powered content processing (summaries, analyses, audio briefings, and more). Unused credits expire at the end of each billing period and are not carried over. Users may set an optional overage limit (default: 0) that determines how many additional credits beyond the plan allowance may be used. Overage fees are billed monthly according to the current price list. The user bears sole responsibility for setting and monitoring their overage limit. Current plans, credit allowances, and overage pricing are available at protime.ai/pricing.

3.1 Feedback and User Contributions

Users are invited to provide feedback, suggestions, and ideas to help improve Protime. All feedback is provided voluntarily and free of charge. Submitting feedback does not create any employment, consulting, or other contractual relationship with Protime. You agree that you will not be entitled to any compensation, payment, or reimbursement for any feedback or other contributions you make.

4. User Responsibilities

You are solely responsible for all decisions and actions you take based on information obtained through Protime. This information is intended for informational purposes only and should not be considered a substitute for professional advice. You are encouraged to consult with qualified professionals and verify information from multiple sources before making any decisions or taking any actions based on the information provided by Protime.

Protime is a news aggregator and does not endorse or recommend any specific securities, investment strategies, or actions. All consequences arising from your reliance on the information provided by Protime, including but not limited to financial losses, are your sole responsibility. It is your responsibility to exercise due diligence and apply sound judgment when using Protime.

4.1 Source Access Authorization

The user confirms that they have legitimate access rights to all sources they feed into Protime (newsletter subscriptions, RSS feeds, mailbox access). Protime processes these sources exclusively on behalf of and for the personal use of the user.

4.2 Gmail and Outlook Data Access

If you connect your Gmail or Outlook account to Protime, you grant us permission to access your email data via OAuth authentication. You can revoke this access at any time by managing third-party app permissions in your Google or Microsoft account settings:

4.3 Data from official publications

Protime provides, through the application, through registerbuch.ch and through programming interfaces (including MCP), information from official Swiss sources: the Swiss Official Gazette of Commerce (SHAB), the central business name index Zefix and, for publications before 2002, the digitised printed SHAB held by the ETH Library (read by text recognition, reading errors possible). The content of the publications is reproduced verbatim. In addition, Protime shows its own machine-generated derivations, marked as such: grouping entries into a person by name and place of origin, attributing publications to a company by its business identification number or name, overviews such as company bankruptcies in a management role over the last 24 months, and the estimated company size (from the company's website and the VAT statistics of the Swiss Federal Tax Administration). Derivations can be wrong and are not official information. The information does not replace a commercial register extract; delays and gaps are possible, and only the register entry is authoritative. Obtain an official extract before making legally significant decisions.

Use of this information is permitted to check and monitor your own existing or prospective business relationships, and to meet your own statutory due-diligence obligations, in particular under anti-money-laundering law. The following are prohibited in particular:

  • combining the personal data provided with data from other sources to form profiles of natural persons
  • systematic extraction to build a separate data holding
  • disclosure or resale to third parties
  • use unrelated to your own business relationship, in particular investigating private individuals
  • use for advertising without recipient consent (Swiss Unfair Competition Act Art. 3(1)(o))

Where the user processes the information further in its own systems — in particular in conjunction with AI assistants, its own data holdings or additional data sources — the user is itself the controller for that processing under data protection law. Protime neither performs nor influences that processing. The user shall not mirror the information, store it permanently in its own data holdings or pass it on to third parties beyond what section 4.3 permits. Blocks and corrections made by Protime also apply to information already retrieved; the user may not continue to use blocked information once it becomes aware of the block.

This purpose limitation also applies to the public site registerbuch.ch, used without an account. Queries there are limited per connection; automated mass queries are prohibited.

Protime does not use personal data from the register for its own advertising, for acquiring customers or for contacting the registered persons.

Protime reproduces official publications as they were published and is not liable for errors or gaps in the source or in third-party digitisations. For its own derivations, attributions, translations and estimates, and for the availability of the service, Protime is liable, to the extent permitted by law, only for intent and gross negligence (Art. 100 Swiss Code of Obligations (CO)); no assurance is given as to accuracy, completeness, timeliness or fitness for a particular purpose. Section 5 applies in addition.

Add-ons to register access: the archive package (CHF 200 per year, an annual subscription like register access) opens up notices before 2002 that were read by text recognition from digitised copies held by the ETH Library; they are marked accordingly, reading errors are possible, and Protime is not liable for them. The archive package requires active register access; when that ends, access to the archive ends and the package is not renewed. The top-up package (3'000 further queries for CHF 30, one-off payment) is valid until the end of the calendar month in which it was paid; unused queries expire and are not refunded, at most three packages per month. The purpose limitation of section 4.3 applies to both; details are in the terms of use of registerbuch.ch (sections 10a and 10b).

4.4 Person watch (monitoring your own staff)

The person watch notifies the customer when an official commercial-register publication (entry or exit as an officer or authorised signatory) appears for an entered person. For accounts with an organisation, alerts are sent by e-mail to the recipient list configured in the organisation settings (“Who receives the alerts?”, own-company-domain addresses only), without an entry to the account owners — never in the morning brief. For accounts without an organisation (Pro subscription), alerts appear in the account holder's morning brief; the person list is then maintained in the briefing settings. Alerts contain only verbatim details from the official publication, each with event, date and source — never an asserted current register state. Watched are the manually entered persons and, automatically, all persons published in the commercial register for the organisation's own group companies configured in the settings (officers, management, proxies, authorised signatories); automatic derivation can be disabled in the settings.

For the entered list of persons the customer is the data controller; Protime processes it solely on the customer's behalf to match it against official publications. By activating the feature the customer warrants that: (a) it pursues a legitimate, substantiated purpose (in particular detecting conflicts of interest or notifiable secondary occupations within the scope of Art. 328b of the Swiss Code of Obligations); (b) it has informed the persons concerned about the monitoring before entering them (Art. 19 revFADP); (c) it only enters persons with whom an employment or comparable mandate relationship exists; warranties (a)–(c) apply equally to the persons derived automatically from the register entries of the organisation's own group companies. The customer gives this warranty by saving the person list; the save action is labelled accordingly in the application and documented with a timestamp. Before the first save the feature is entirely inactive.

Alerts without a matching place of origin are mere name matches and are labelled as such; they make no statement about identity. The customer must not base any employment measures on an unconfirmed alert without verifying the facts against the linked official source and its own knowledge. Deactivating the watch in the settings withdraws the warranty, stops it immediately and removes the entered watches.

4.5 Sanctions and PEP screening (AMLA)

Sanctions and PEP screening is a tool. It does not replace the customer's due diligence obligations under the Anti-Money Laundering Act, nor the customer's own checks and documentation. The screening compares names: against the SECO sanctions list (taken over daily) and, in the AML package, against the PEP data of OpenSanctions (queried at each check). Other lists are not covered. A match does not prove that it is the same person, and no match does not prove that no sanction or PEP status exists. The state of the lists at the time of the check is authoritative.

5. Disclaimer of Liability

  • No Warranties: Protime is provided 'as is' without any warranties, express or implied. We do not guarantee the accuracy, completeness, or timeliness of the information provided.
  • AI-Generated Content: The content of summaries is created by large language models (LLMs). Inaccuracies, omissions, or misrepresentations may occur. Protime uses state-of-the-art AI models to minimize this risk but does not warrant the accuracy of generated content.
  • No Professional or Investment Advice: The summaries and analyses provided by Protime are for general informational purposes only and do not constitute financial, legal, medical, or other professional advice. Users must not make decisions solely based on Protime-generated content and are required to seek independent professional advice.
  • Limitation of Liability: To the extent permitted by law, Protime is liable only for intent or gross negligence (Art. 100 Swiss Code of Obligations (CO)). Liability for slight negligence, for indirect and consequential damage, loss of profit, loss of data and third-party claims is excluded. This applies in particular to damage resulting from acts or omissions of the user based on Protime content.
  • Auxiliary Persons: For auxiliary persons, suppliers and processors, in particular providers of cloud, infrastructure, AI and data services, Protime is liable only to the extent that Protime itself acted with intent or gross negligence in selecting, instructing or supervising them (Art. 101 para. 2 CO).
  • Liability Cap: To the extent permitted by law, Protime's total liability for damages of any kind is limited to the subscription fees paid by the user in the preceding 12 months. Liability for intent and gross negligence remains unaffected. Where the service is used free of charge, Protime accepts no liability, to the extent permitted by law.
  • Reservation: Liability for intent and gross negligence, liability for personal injury and any mandatory statutory liability remain unaffected.

5.1 Email Data Disclaimer and Limitation of Liability

By using Protime with Gmail OAuth or Microsoft OAuth, you acknowledge that Protime operates in compliance with Google's API Services User Data Policy and Microsoft's API Terms of Use respectively, but assumes no liability for errors, omissions, or issues arising from email data retrieval or processing.

6. Continuation of Service

Users do not have a guaranteed right to the continuation of the service. If commercial validation fails, a technological reason prevents the service's expansion, or legal or other issues arise, it is at the sole discretion of Protime to discontinue the service. Users are not entitled to any compensation arising from such actions.

7. Indemnification

If you use the service in breach of these terms, or if your use infringes third-party rights or the law, in particular data protection, unfair competition, copyright or personality rights, you shall indemnify blueSky Information GmbH and its officers against all resulting third-party claims and compensate the damage incurred, including reasonable costs of legal action and legal defence. Protime will inform you of any such claims and coordinate the defence with you. Fines imposed on Protime or its officers are not covered.

8. Subscription and Payment Terms

All payments are securely processed via Stripe Inc. By making a payment, you agree to Stripe's Terms of Service: https://stripe.com/legal.

  • Fees: Protime offers paid subscriptions with varying features and credit allowances. Fees and billing terms will be clearly communicated upon sign-up.
  • Credits: Each plan includes a monthly credit allowance. Unused credits expire at the end of each billing period.
  • Overage: Users may set an overage limit (default: 0) that determines the maximum number of additional credits beyond the plan allowance. Overage fees are billed monthly according to the current price list. The user bears sole responsibility for setting their overage limit.
  • Term and Renewal: Subscriptions run for the selected period (month or year) and renew automatically for the same period unless cancelled. The subscription is a continuing contractual obligation for access to an information service and not a mandate within the meaning of Art. 394 et seq. CO.
  • Refunds: Paid subscriptions are subject to a 14-day right of withdrawal from the date of purchase. After the withdrawal period, no refunds will be provided for unused portions of the subscription period or unused credits. Overage fees are non-refundable.
  • Cancellation: You may cancel your subscription at any time, effective at the end of the current billing period. Unused credits expire upon cancellation.
  • Money-back guarantee for register access: For the commercial register access (annual subscription), Protime refunds the full amount if requested within 30 days of purchase — no reasons required. An email to marc@protime.ai is sufficient. The refund goes to the original payment method. Access ends with the refund

9. Governing Law, Jurisdiction and Dispute Resolution

These Terms of Service shall be governed by the laws of Switzerland, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and conflict of law provisions. The exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms of Service shall be Lucerne, Switzerland, to the extent permitted by law. Mandatory statutory jurisdictions, in particular mandatory consumer jurisdiction pursuant to Art. 32 CPC, remain reserved. If you are a consumer habitually resident outside Switzerland, the mandatory protective provisions and places of jurisdiction under the law of your place of residence remain reserved (Art. 114 and 120 Swiss Private International Law Act (PILA), Lugano Convention); otherwise Swiss law applies.

In the event of any dispute, the parties shall first attempt to resolve the dispute amicably. If the dispute cannot be resolved amicably within thirty (30) days, either party may pursue the matter through the ordinary courts.

10. Termination

  • By Protime: Protime reserves the right to terminate your access to the service if you violate these Terms, engage in illegal activities, if continued service is impractical due to legal, technical, or financial reasons, or if the operation of Protime is no longer financially viable. If Protime terminates your access for reasons other than a violation of these Terms, you will receive a prorated refund for any unused portion of your subscription fees.
  • By You: You may terminate your subscription at any time, as outlined in the Subscription and Payment Terms section. Unused credits expire and unused portions of the subscription period will not be refunded.

11. Intellectual Property

  • Protime's Content: All content provided by Protime, including but not limited to articles, summaries, analyses, and software, is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or modify any content without express written permission.
  • Copyright of Source Content: Content processed by Protime from emails, newsletters, RSS feeds, and other sources added through Smart Discovery or by the user is subject to the copyright of the respective authors and publishers. Protime creates AI-generated summaries and analyses of such content under the right of personal use (Art. 19 Swiss Copyright Act) and through transformative processing. Protime does not claim ownership of the original materials. The summaries constitute independent, transformative works and are intended solely for the user's personal informational purposes. Any redistribution, publication, or commercial use of summaries that could infringe third-party rights is the sole responsibility of the user.
  • Feedback License: As a user of Protime, you grant Protime a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display any feedback, suggestions, ideas, or other information you provide to us, whether through the service, surveys, emails, or other communication channels.
  • Document Licensing and Liability: If you submit documents or content that are not created by you and for which you do not have appropriate licensing rights, you are solely responsible for any damages or claims arising from such submission. Protime will not be held liable for any damages or compensation claims resulting from the unauthorized use of third-party materials.
  • Weather Data: Weather references in email drafts are based on data from the Norwegian Meteorological Institute (Weather data by MET Norway, api.met.no, licensed CC BY 4.0) and geocoding data from OpenStreetMap contributors (Nominatim, ODbL).

12. Business Structure and Location

Protime is operated by Bluesky Information GmbH, based in Lucerne, Switzerland. Changes to the business structure or location will not affect the provision of the Protime service. Any changes to these Terms of Service will be communicated through updates with reasonable advance notice.

13. Changes to Terms

Protime reserves the right to change these Terms of Service at any time. Changes will be published on the Protime website. If the changes have a material impact on your rights, we will provide reasonable advance notice via email.

14. Data Protection

The processing of personal data is carried out in accordance with the General Data Protection Regulation (GDPR) and the Swiss Federal Act on Data Protection (revDSG). For details, please refer to our Privacy Policy. For business customers, we provide a Data Processing Agreement (DPA) in accordance with Art. 28 GDPR or Art. 9 revDSG upon request. 15. Severability

If any provision of these Terms of Service is wholly or partly invalid, the remaining provisions shall remain in effect. The invalid provision shall be replaced by the permissible provision that comes closest to its purpose.
